“倒地”无罪,“倒爷”有问题

我们对“倒地”现象颇为不满，却不知道土地的转让是法律规定中给以保护的一种经营行为。“倒地”是违法的行为或绝大多数是违法的行为。但市场经济框架的建立发现“倒地”实际是流通中的必要条件与手段。
于是中国随着改革的进程和对市场经济运行规律的重新认识，修改了中国的《刑法》，取消了投机倒把罪，“倒地”才有了“合法”的地位。但“倒地”有合法的“倒地”与非法的“倒地”，如货币外汇的私下交易被法律列为违法的行为，而商品从甲运到乙吃差价的“倒地”则被法律所保护，变成了正常与合法的市场运营行为，但是“倒地”这个词仍带有法律界限不清的双重含义，并且贬义为主。
倒地不同走私，倒地不管前面有多少的不合法行为，都必须在最后的一关中得到验证，即土地的权属确认中得到官方的认可，否则前端的所有行为都无法在结果中得到保证。没有土地权属的官方认证，土地都不可能成功的进行交易。
之前，土地供给政策实行严格的“招拍挂制度”，大量的土地是以协议形式出让的。政府将这些未开发的土地通过协议出让的方式委托市场完成了土地的一级开发和成片的规划，并依法允许这些土地开发的企业将一部分土地合法转让给二级开发的企业进行房产开发。既解决了统一城市规划的问题，又解决了政府资金、人力短缺的问题，加快了城市招商引资与开发建设的步伐，而土地一级开发到二级开发之间的利润就是吸引企业投入一级开发资金、人力的诱因，也是政府交换中所支付的对价。
之后，实行“招拍挂”制度后，仍有大量政策变化交叉中的遗留问题，大量遗留转为土地一级开发的情况，仍保留了这样一个一、二级开发之间的转让与已取得二级开发权的转让。这些都创造了“倒地”的机会，也更明确了房地产开发中的土地开发与房屋开发职能。土地的开发也是本职工作，土地的转让也是合法生意。
宏观调控从鼓励支持到打压、限制，从防止过热到抑制消费，金融政策随着调控的指挥棒忽左忽右的摆动、拆迁政策的多变、历史遗留问题等也让许多地区、城市都出现了大量的经济纠纷导致的烂尾地、烂尾楼。而解决这些烂尾地、烂尾楼纠纷的最好方式，除了法院的拍卖之外，就是企业的重组和土地使用权的转让。这就形成了除公开土地出让之外的另一个市场，也给“倒地”开辟了一个施展才能的阵地和发财的机会。
只有垄断的一方才可能用垄断而造成的市场的供给短缺以推动价格的扭曲型上涨，否则增加了市场化中的流通量和供给方式只会在非垄断的竞争中让市场中的价格下降合理和平稳。任何“倒地”都不可能推高物价，土地的“倒爷”们一定是用比市场公开“招拍挂”更低的价格才有倒地的机会，否则开发商一定会从公开市场中获取土地以避免交易中的风险和土地溢价无法进入成本而多交土地增值税的风险。毫无疑问的是没有更便宜的价格作为诱因，是不会有人愿意承担非公开交易产生的任何风险的。
尤其是银行严格控制土地信贷，不许用银行贷款给开发商购地，也必须交足土地出让金之后，才能获得土地权属证书，使“土地倒爷”们成为自有资金投资者和要承担土地价格变化风险的交易方，更不可能用高于土地市场公开价格进行交易。许多土地的“倒爷”们转让的并非是已出让的土地，而是转让了法定的二级开发权。
土地供给的垄断以及计划落后于现实会造成市场中交易的差价，“土地公有制度”所决定的财富分配手段，必然会让更多的人利用这种公权向市场转移过程中的一切机会，合法的取得更高的利润。因此，要批评和攻击的不是市场中的合法行为，恰恰是让社会无能坚守贞操的法律或制度。
仅仅用情理去限制与攻击市场的行为，不如让法律来判断事实，否则就永远不会有公民的权利保障和生活的起点公平。
